You can run the emergency repair installation disk for Windows XP, and specify a new admin password during the process. If you do not have the disks, then it's a much more complex thing to solve (like booting up in safe mode and using command line functions).
try booting in safe mode. then scan for possible virus. then restart and login in (not in safe mode). if it still wont work, reformat the drive then do the fresh installation of windows.
Try to get hold of a bootable xp pro disk and boot from it, when finished loading the initial drivers and files onto the system gointo the 'R' option recovery console, this is a command line recovery, once there type chkdsk c:/f and press enter let it run its coarse and then restart pc.
Thst means that you have an important file for the Operative System to run. Try to get an Operative System Installation CD (which I assume in your case is Windows XP) and run the installation procedure. The first option you are going to see is to use Recovery Console to repair XP, skip this and continue to Install XP. Then you'll see an option that says "REPAIR", choose this one (it won't wipe out your personal info, just will fix the corrupted files). This usually happens due to lack of maintenance done to the computer. Hope it helps, good luck.

Click On Start---> Run---> MSCONFIG---> click on BOOT.INI --> Then Click On Safe Boot --> Click Apply And Click Ok---> Restart Your system u'll get what u want.......... Temme If u need any help in virus removal...
first of all we need to know what operating system ur using......
iam presuming ur using XP....
have you tried copying user32.dll back to the c:\Windows\System32
directory from the XP disk, another computer, or parallel install of
XP? If you can get to Safe Mode or Even Safe Mode Command
Prompt you may aslo be able to run "sfc /scannow" at the prompt and get
Windows to check all of it's system drivers and replace any that are
found corrupted.
if ur not able to access through safe mode
if you are making it to the boot menu options you may try "Last Known
Good Configuration" or something like that... if you are unable to get
that to work either then you best bet is probably to try and run the
Recovery Console from the XP CD. If that doesn't work you could try
messing around with either booting XP Pre from a boot CD and copying
files to wherever you need, or installing a parallel copy of XP,
booting to that and copying files to your old copy. You can also try
installing over the top of the existing XP but that would be my last
effort as it could permanently destroy data you might be trying to keep.
if it still doesnt work I think you may be looking at a re-install if your system is that messed up.
Do you have the original recovery disk? I recommend inserting the recover disk, restart the computer while continually pressing F12. Select boot from CD, press any key when asked, and you would want to do a "repair". That should fix your problem.
