Hi, This is an old board trying to run a hungry CPU. From the symptom you describe the poor thing may be wearing out right in front of you. Anyhow, - In order of likelihood your problem(s) are probably:
1 - Defective motherboard. PC chips is well known as a maker of cheap mobos. When run even a little hot they have a short lifespan. A 3Ghz Pentium Prescott needs a lot of power. A faulty part may not always kill a session but it can ruin your life. Try running the PC underclocked at ~2Ghz. See if the prob goes away. If so, better cooling the support chips may help. Best solution is replace this old warrior with a new mobo. You will also need a new PSU & CPU if this is the problem. Except for playing games, even slow dual core CPUs will perform better than a single core unit.
2 - Bad PSU. These also wear out, especially if run hot. Best solution is new PSU. If you do this, get a modern model that will handle a mobo upgrade should that also become necessary. Many options & prices here - be careful.
3 - Bad PCI card or RAM. If you already haven't - try removing all unnecessary hardware... then test for problem. Switch your DDR2 RAM in & out to test for defect.
4 - Bad CPU. Not likely but possible. try running the PC underclocked at ~2Ghz(if this mobo lets you). See if the prob goes away. If so, better cooling might be the hot tip

You need to go to the website of whoever made the motherboard and get the BIOS flash utility and the BIOS binary file to update your BIOS. Make sure you get the right one, as using the wrong one can render your motherboard worthless. The BIOS file has to be the exact match. There is no such thing as close in this situation.

The BIOS chip holds information about your motherboard hardware. It is reprogrammable. It uses what is known electrically erasable read only memory. This is also called Flash memory. Reprogramming is called flashing. When you flash the BIOS, all data is erased, then the new data is written. The flash utility will most likely allow you to save the old contents, but you might have an extremely tough time recovering from an improper flash. You'll also probably need a couple of floppy disks, one of which may have to be bootable. If you need a bootable floppy disk, you can get an image file from http://www.bootdisk.com.

Is the hard disk drive is in secondary slave? If yes, change it to master and your dvd is into slave. Refer to the jumper settings at the back on the drive. If not work, your bootable disk may defective. Try other a botable disk.

you are saying two differnt things here.. CDROM and DVD if its a dvd in a CD ROM it will not boot a windows disk if somehow this is written to a DVD Is it original?
Secondly is the Cd ( or DVD drive) actaully working. Being listed in CMOS does not guarantee that.
I know you have listed the drive as DVD but do you have 1 or two drives installed and not have the disk in the recognised drive.; have to eliminatge all possibilities of werror in interpretation here.
So assuming everything appears as it should, then the medial in the drive has to be considered at fault .. dirty disk.. drive needs iris clean, not an original disk, damaged disk, not a boot disk.. just a windows cvopy.;

are you installing operating system?
Two things you need to check. One Make sure the jumper on the CD-ROM is set to Master. Second make sure you save the bios change before you exit the bios.
