Clean up all your temp files

Go to Start->run - > type temp and hit enter
it will open up a folder, delete all files in temp folder

Again, Go to Start->run - > type %temp% and hit enter
it will open up a folder, delete all files in temp folder

After scanning and deleting temp files, restart the system once and try installing again

Try connecting to the internet first and minimize ie.
Then try to activate.
If that does not work, remove the program, reboot the machine and re-load.

Don't know much about Panda I use A.V.G, however; please check to see if you are downloading 64 bit or 32 bit.

Well, there are very many antivirus softwares, it really depends if you are looking for free ones or ones that you will have to purchase.
When it comes to antivirus software, Kaspersky Antivirus (must pay for) is very good. On my net book, I use Microsoft Security Essentials, mainly because it uses almost no system resources.
