Disassemble the laptop and remove the heatsink. Remove all the dried up heatsink goo that's on the heatsink and processor. Squeeze a small amount of QuickSilver heatsink compound onto the middle of the processor top. Place the heatsink on the processor and move it in a couple small circles before locking the processor heatsink back in place. Clean the air vents and cooling fins well while the unit is open. This should fix any overheating issues you are having (assuming the fan is OK) If the fan isn't running, replace it.
Sounds like the fan could be pulling the cpu down or it's overheating. The cpu fins may need cleaning and will stop overworking the fan and start cooling as it's suppose to.The fan itself could be dying.

If none of this solves the problem, or is not the case, then you might have a bad motherboard.

The problem with the laptop is that the Main board fan needs to be clean. It could have accumulated a lot of dust. Try cleaning the fan and the laptop would be faster than before and seize shutting down.
Before that I would advise you to update the BIOS which will be available in the manufacturer's website. This could also resolve the issue.
Fan cleaning must be done in such a way that the laptop must be disassembled and clean the dust in the fan.
Assemble the parts once again and the laptop would be as good as new.

Im assuming its a C64, these notebooks have overheating issues.
