Unfortunately if your iPod Touch is locked and you cannot recall the pass code to unlock it, you will have to perform a factory restore, in order to clear your iPod Touch of that previous pass code.
The good thing is, even though you will wipe all your current data on your iPod Touch, after the factory restore, you can restore your most current back up through iTunes to restore the data back to your iPod.
To restore your iPod Touch is simple: * Be sure you restore your iPod Touch on the same computer or notebook that your previous iPod Touch backup files or stored.
* Now, make sure you are using the latest version of iTunes. • Be sure your iPod Touch is correctly connected to computer or notebook .
• Finally, in the left column under DEVICES, click on your iPod Touch, then click on Restore under the Summary tab.
* Allow the process to complete and your iPod Touch will be restored to its original factory default settings.
* Now simply re-sync your iPod Touch with iTunes and this is where your last sync now comes into play. When you sync after the restore, iTunes will look for your iPod Touch's previous backup and per your permission, will restore your most recent backup to your device. ------------------------------------------------------------------------------------
This time, when you set up your pass code... Make sure to write it down somewhere or in a place that is easily accessible and a in a place that you won't soon forget.
Correct it by going to Settings>General>Date & Time>
If Set Automatically is turned ON, turn it OFF first to Set Date & Time manually.

This is the article you want from Apple - https://support.apple.com/kb/ht1212 If you repeatedly enter the wrong passcode, your iPhone, iPad, or iPod touch will be disabled for longer intervals before you can try again. After too many unsuccessful attempts, you won't be able to try again until you connect it to the computer with which you last synced it.
FIRST CHARGE IT FOR 5-6 HOURS AS IT IS THE AVERAGE TIME GIVEN TO EVERY MEDIA PLAYER .THEN OPEN IT BY PRESSING THE MIDDLE BUTTON AND SET THE DATE AND THE TIME AND THEN UPLOAD MUSIC FILES OR ANY FILES WHICH YOU WANT TO SYNC . YOU CAN SYNC YOUR MUSIC IN IT THROUGH ITUNES.
THANKS AND HAPPY NEW YEAR :)
go into setting then genral and make sure the date and time is correct.
after that go into network and make sure the security setttings for your wifi are the same as the ipod (ie) wep,wpa,wpa2 try to setup your connection manually in the security options.
It depends on the severity and the settings you have given the iPod... Here's the full explanation. I would recommend reading the second paragraph first, but the solution if you really forgot your password is in the first paragraph.
If you cannot remember the passcode, you will need to restore your device on the computer that was used to originally sync the iPhone or iPod touch so that you can reset your passcode and resync the data from the device (or restore from a backup). If you restore on a different computer that was never synced to the iPhone or iPod touch, you will be able to unlock the device for use and remove the passcode but your data will not be present. Refer to "Updating and restoring iPhone and iPod touch software."
"If you enter the wrong passcode too many times, you'll see a message that says "iPhone is disabled" and to try again later. If you repeatedly enter the wrong passcode, iPhone or iPod touch will be disabled for longer intervals, before you can try again. After too many unsuccessful attempts, you won't be able to try again until you connect to the computer you normally sync with. Note that starting with iPhone 2.1 software, there is a setting to cause the device to erase itself after 10 consecutive incorrect password attempts. This setting is off by default. It can be turned on by tapping Settings > General > Passcode Lock after you enter a correct passcode."

Check that your timezone settings are correct on the touch:
On 2.1 firmware, it's: 1. Settings > Mail, Contacts, Calendar > Time Zone Support
2. Settings > General > Date & Time > Time Zone
On your pc, also make sure that it has the correct date, time, and time zone. Finally, there have been problems when you allow your computer to enter hibernation mode with iTunes running. After waking up the pc and syncing, time and date can get messed up. To avoid this, close iTunes before letting pc go in hibernation mode. Best of luck!
