A lot of the Sandisk cruzers create a CD emulator (this will appear in "Computer". If you created a password for your drive you need to enter that to unlock the data portion of the drive. If you have no password then the drive could be bad and you need to reformat it.
I have this same device and forgot my password also. The only solution you can do is format the drive and reinstall the software that came with the drive. I believe it warns you of this when installing a password on it, that if you loose or forget ur password the device will have to be reinstalled. the site to obtain the software is www.sandisk.com

If not then bring up notepad and type you password into it to make sure that your keyboard is working OK ie no double letter etc. If you want to remove the protection you should search for and download a utility called U3Uninstall its on the SanDisk website- hope this helps
