I called insignia co. They wouldn't give me a solution. They told me it was against their co. policy to over-ride the password. I went onto insignia web site and downloaded the owners manual for my model number, and guess what? The code to over-ride it was there. Problem solved!! Call the company, they usually have a back door route. We had a nice Viewsonic 42" LCD TV at work and they had us push something like vol + power to remove password, then we could put in a new password.

Check your router to make certain it is allowing the connection from wi-fi, you might have to enter the password on the TV.
You should be able to use it with just the wi-fi.

If you forget the passcode "press recall four times within 5 seconds from the V-Chip menu.This allow you to proceed to the blocking menu and resets your PIN code. OK.
If you forget your password, simultaneously press and hold the MENU/
OK button on the front panel and VOL- button on the remote for three
seconds. This resets the password and unlocks the TV.
