The shift solenoid in the transmission has a fault with the power train computer or visa versa. A scan of the computer codes will find your fault. Auto Zone will perform a scan free of charge just for asking

these cars are prone to motor/transmission mount failure. This can lead to erratic shifting. No guarantees but I have seen this a few times.

Sounds as if you have a pressure fault, dont leave it at this point it could only be a solonoid change or a crack in the rear cover, but if left a complete transmission may be required.

Your dealer is shooting you straight. Actually the software update is out. I just had my wife's 2006 R350 software updated yesterday and so far the abrupt downshift has not happened.
