You are going to need to start your computer in safe mode and find the
XP drivers that will work for your motherboard manually from the web
(Assuming that there are any created for XP for that board)..
That blue
screen you keep getting is because you don't have the correct driver
loaded for something on the motherboard that it needs to boot correctly
and your XP install couldn't find it on the web to install
automatically.
Start
your PC and press F8 several times until the boot menu comes up. Then
select "Safe Mode with Networking".

You have set the resolution or refresh rate of your display adapter to a value which is too high than what is supported by your monitor. In order to fix this, you have to do the following: 1. Reboot your computer & press F8 to boot into Safe Mode. 2. Once in Safe Mode, open Device Manager. 3. Remove the display adapter device driver form Device Manager. 4. Reboot your computer again. Windows will boot up normally & will detect the display adapter. It will prompt you for the device driver for the display adapter. 5. Use the CD that came with your display adapter to install the device driver. Once done, your problem is fixed.

If you have a valid Win XP Pro CD and want to install the operating system you'll need to format your hard disk drive. If you have allot of data on you're hard disk drive, (In Win 2000) Suggest you create a second partition within the free space of you're hdd and install windows XP Pro. Boot you're system with the XP CD. Pay close attention to the display screens. Follow the instructions for creating a second partition.
Format the new partition. (Quick). Install windows XP on the new partition. Once completed you can copy your personal data to win XP.
If you choose to keep the win 2000 partition and you do not wish to have a dual boot system than remove/delete the root files from the 2000 partition. These files; Autoexec.bat and Boot.ini. You're new XP Boot.ini should read like this;
[boot loader] timeout=30 default=multi(0)disk(0)rdisk(0)partition(1)\WINDOWS [operating systems] multi(0)disk(0)rdisk(0)partition(1)\WINDOWS="Microsoft Windows XP Professional" /noexecute=optin /fastdetect /usepmtimer
Once you're satisfied an no longer need win 2000 use windows diskmgmt.msc from the run command to delete the win 2000 partition.
Win 2000 uses a FAT16 where Win XP uses the FAT NTFS.
http://www.asrock.com/mb/download.asp?Model=P4VM8 this is where i got my drivers. what happens when you disable the on board modem feature in the bios? does it boot? also if you have an empty pci slot-you can add a new one. and disable the modem in bios(if bad modem)-so disable it,boot normally, then remove the drivers for that device,if any. then reboot enable it,then try drivers again. adding a new one is an option, if all else fails! good luck with that. if you need further help reply.
You might try removing the Hard Drive from the machin and slaving it on your other machine. Then running a chkdsk in the command prompt or norton disk utilities. If either fails, backup your data on other machin and reinstall.
