To upgrade the motherboard? No. Just replace the laptop. If you want to upgrade, you may try memory, but it would take someone like me to look at it and see what upgrades might help.

I think you have put password for your Hard Drive.
If you forgot the password, go to BIOS setting and restore default values then save and exit.
If the above not come to help try a hard reset. for that remove the battery unplug the AC adapter. Then press and hold down the power button for 2-3 minutes. Do not release in between.
replace the battery and AC adapter press the power button and on boot logo enter into the BIOS again and enter current date and time. save and exit.

You can remove or change the Window's User or administrator's password. You need access to a computer with Internet access to download the Hiren's Boot CD and burn it onto a CD. Then insert this CD into the laptop/computer and boot up the laptop/computer with the Hiren's CD and follow the instructions. what windows do you have? if you have winXP press alt-ctrl-delete and type Administrator in user leave the password blank you should be able to access it..go to users and change the administrator password...tekgods.com

Resetting password & user name on Windows:b>*Start your computer
*Keep pressing "F8" as the computer starts.
*This will enter the computer in Safe Mode.
*(When the window "Advanced Boot Options" opens, choose "SafeMode" with arrow key and confirmby pressing the Enter key, then computer enters Safe Mode.
*Once you are in the Safe mode Click "Administrator" on the Windowslogin screen.
*Take note that you have set the Administrator password before, you need toinput the changed password instead of leaving "Password" field blank.
*Then click Start > Control Panel > User Accounts > Select the accountthat is locked and change the password.
**Restart computer and login into the account you just created using your newpassword.

run your system on safe mode and then create a new account as your system administrator and then delete the previous account, you will not lose any of your data on the hard disk.

I also purchased two of these computers. I wiped the HDD and installed Win7 Ultimate. I could not get the wireless NIC driver to install. My solution was to use another wireless USB NIC and use Windows Update, Voila everything was fine. Iam writing this post with one of them. I am somewhat confused by your post referring to a Broadcom NIC. Both of my machines have AtherosAR5B5 wireless network adapters and Atheros AR9132 PCI-e Fast Internet Comtrolers. Broadcom has always meant Bluetooth driver to me, but I may be mistaken about that.

I have always thought of eMachines as being the cheapest in both price and quality but I did a rather extensive investigation on netbooks in general and could not find and justification for spending twice as much for a more popular name brand with basically the same capacities.

I don't know how to do one to one assistance on this site, but if you can figure it out I would be more than willing to help you. I am very pleased with these two netbooks!
