Hi Mairaj, please click the link posted below. This is Asus download site for your board P5S800-VM. Suggest you bookmark this page in case you need another driver.

Creat a folder on your desktop & name it Audio.
Click the + sign next to Audio. If you are using Win XP home or Pro download,
Realtek ALC655 AC''97 Audio Driver V3.66 for Windows 98/ME/2000/XP(WHQL)/2003.
File size 24.17MB. Save file 32b366.zip in the folder you created.

The file 32b366.zip must be uncompressed before you can install it. If you do not have winzip please download this program for free from the link below. Install winzip into your PC.

Once the file 32b366.zip has been uncompressed you can install the software.

I hate giving a bad diagnosis as I am afraid that you will not respond to the post well or give me a poor rating. But never the less, I will give you the information that you have requested.
5 beeps whether you have an AMI or Phoenix BIOS means that there is a CPU error. That does not mean that the processor is dead, you may be able to reseat the processor in the socket and get the computer back up and running.
I am just telling it like it is, 5 beeps means CPU error.
I hope this information allows you to resolve this issue.

Is the ms 6540 motherboard compatible with the asus p5s800-vm

what u mean compatible? if u mean u want to change your ms 6540 to Asus P5S800-VM, then i tell u it cannot be done.
first thing that u look when to change mainboard is SOCKET type... ms 6540 have socket type 478 and asus p5s800-vm have socket type LGA775. thats mean your old processor cannot be use in asus. socket 478 is older than LGA775.
So if u want to change your mainboard for ASUS P5S800-vm, then u need to change your processor to... about RAM socket and VGA socket, ms 6540 have same type with ASUS P5S800 (DDR400) so u dont need to change your RAM and VGA (if u use external VGA)
