Try to reboot it by pressing the center button and menu at the same time for about 6 seconds. If that doesn't work, try resetting it to factory defaults using iTunes.

How to Turn on Genius
The iTunes Genius feature suggests and recommends new music, movies, and television shows based on your device's music library and playlists. The Genius feature can automatically create new playlists for the user to enjoy and will do so based on the different genres and styles of media already present in the library. Using Genius, you can discover new music that's interesting to you.

Instructions
1Open iTunes on your computer.
2Click the "Store" menu link then click "Turn on Genius."
3Click the "Genius" entry in the iTunes sidebar to the left then click "Turn on Genius."
4Select a song in your iTunes music library and click the Genius icon located at the bottom of iTunes. The icon is represented by an atom.

f you are using iTunes for the first time, you will see Genius listed on the left side of the iTunes window above Playlists. Click Genius and then click Turn On Genius to start using Genius. You can also start Genius by choosing Turn On Genius from the Store menu in iTunes, or by selecting a song from your library and pressing the Genius button at the bottom of the iTunes window.
When starting Genius, you'll be asked to sign in with your Apple ID or create a new one and agree to the terms and conditions.* iTunes will then proceed to gather information about the contents of your library, send this information to Apple, and download Genius results. The time to complete this process will vary depending on the size of library information and the amount of traffic on the iTunes Store. At any time during this process you can use iTunes to play music or other content.
To turn off Genius, simply choose Store > Turn Off Genius in iTunes.

There are many iPod error icons with exclamation marks

The Sad iPod icon (93936_4.gif ) usually means that the iPod can't access it's Hard Drive. I've seen that hitting the ipod on a soft surface occasionally fixes this. You may need to take the iPod for repair

The Folder Error icon (93936_1.gif) may mean the battery is low, the ipod needs to be reset, restored or needs a service

The Battery Icon (93936_2.gif) usually means the battery needs charging

93936_3.gif means a disk scan failed and will be repeated when the ipod is turned on or reset.

Try restoring it continuouly until it does (eventually worked for mine)

if it is anything else, your iPod may need repair.

Good Luck!

According to Apple, if you have forgotten the code, you can unlock the IPod by doing the following:

Connect your IPod to the primary computer you use it with (the first one IPod synced with), and open iTunes.
When you disconnect iPod from the computer, it will no longer be locked.
If you can't unlock IPod using either [the code or connecting it to the computer you use to manage its songs]. . . you can restore your iPod to factory settings using iPod Updater. Please note that this will erase all data on your iPod.
Afterwards, you can add your music and data back to your iPod.

If you want to change the primary computer that your IPod is associated with, do this:

1. Restore your iPod. WARNING: The restore process cannot be undone.
All of your songs and files will be deleted. Always make a backup of your important data.

2. Connect your iPod to the computer that you want to be the primary computer.

3. Open iTunes and synchronize.
Apple also notes that company "representatives cannot unlock an iPod if you forget your combination. If you can't unlock your iPod and you don't have access to the primary computer, your only option is to restore the IPod, which will erase all music and data."
