What is the best replace the elements and thermostats or just get a new waterheater

Best is to replace anode rod, and leave elements and thermostats alone until they go out. IF you can get the anode out.
http://waterheatertimer.org/Replace-anode-rod.html
Anode rod prevents tank from rusting. Anode rods deplete over time in most situations, and then tank begins to rust. If the anode can be successfully removed, and updated, then tank rusting stops, and you're tank is good for another 10 years.
So answer to question is: Depends if tank is rusty, and if tank is sitting in drip pan to protect home from possible leak.
http://waterheatertimer.org/Leaking-water-heater.html
Tank-type electric heater is unique since it can last almost indefinitely, with maintenance. Therefore maintaining tank-type electric water heater can pay you $5-10 per month.
http://waterheatertimer.org/How-to-maintain-water-heater.html
Ordinary electric tank type can outlast all other water heaters, and be far simpler to fix yourself than any other type heater: including gas tank-type, electric hybrid tank-type, electric-and-gas tankless etc. More complicated heaters will eventually fail, and the lifespan is limited. Which is argument against buying expensive water heaters that are controlled by computer chip etc. Avoid tankless promotion. Tankless cost more..Period.

High temperature thermal cut-out has tripped

Type, model, brand, age of water heater, and general installation of water heater are unknown.

1) Electric tank-type water heater: replace thermostats and test elements.
http://waterheatertimer.org/How-to-troubleshoot-electric-problems-with-water-heater.html

2) Gas tank-type: replace gas control valve, clean air intake screen/ location varies by brand:
http://waterheatertimer.org/How-to-troubleshoot-gas-water-heater.html#intellivent

3) Tankless: call service technician, or replace tankless with tank-type and save money long-term.

4) Add comment and describe water heater using label located on side of unit, and include what you are doing to 'reset' the thermal cut-out.

Pilot light is lit but won't turn on water heater

What band and type water heater do you have? And about how old is the water heater? Add a comment with more information.

Following general information applies to tank-type residential water heater.
If pilot light is working, then thermocouple is good. Otherwise, if thermocouple was bad, or fallen out of place, then there would be no pilot flame.
Carefully read instructions for lighting water heater located on front of tank ... make sure you have the gas control valve set to ON.
At this point, troubleshoot varies widely depending if your water heater is older and air enters front of heater, or if water heater was made after 2007-9 and has sealed combustion chamber and FV system.'
Troubleshoot also varies widely depending if you have power vent and which type of gas control valve.

Heater shuts down prematurly

If the heater runs fine for the 15 or so minutes without smoke/odor- do this
  1. check for water droplets on bottom of tank
  2. check for restricted fuel filter
  3. test photocell
  4. test safety control (reset)
You don't state whether this is a spark plug heater *or* Hot Surface Ignitor type. I made the assumption you were inquirung about a Spark Plug Heater. Disregard the list if the heater is an HSI type---- troubleshooting is different.
