With many mobos (motherboards) you must place a single stick in a certain slot in order for the mobo to post. In my Asrock it is the #2 slot for a single stick. If I put it in the other slot the computer will not post. Try moving your stick to the other slot and reboot.

Asrock conroe b65gv motherboard only working cpu fan.....

First thing to check with a desktop computer problem is the Power Supply.
This I state a lot.
In reality there's a flaw.........

In reality a person should visual check for bad capacitors on the motherboard, then move to the Power Supply.

The AsRock Conroe865GV uses nothing but Electrolytic Capacitors.
(Radial Aluminum Electrolytic Capacitors to be exact)
Doesn't use any Solid Polymer Capacitors.

These are known to be a 'weak link' on a motherboard.

http://capacitorlab.com/visible-failures/index.htm

http://www.youtube.com/watch?v=Lut7MX5Dd_A

Capacitors are used as Filters, and Voltage Regulators, on the motherboard.

The ones used as voltage regulators are in the Motherboard Voltage Regulator Circuit,

http://www.hardwaresecrets.com/article/616

Just thought you might like to know

Since you indicate the CPU fan is spinning, I assume you know the computer isn't supposed to be dirty inside.
If you don't............we need to have a long talk..........

With a Power Supply having a weak voltage power rail, you may see LED's light, and maybe fan's spin, but there won't be enough power to turn the CPU (Processor) on.

1) If ALL of the LED's were on at once, they would use less than 1 Watt of power.

2) EACH fan uses 2 to 3 Watts of power.

3) A typical CPU (Processor) can use 51 to 130 Watts. Just depends on what CPU it is.

AsRock Conroe865GV?

http://www.asrock.com/MB/overview.asp?Model=ConRoe865GV

The motherboard chipset is an Intel 865GV chipset,

http://en.wikipedia.org/wiki/List_of_intel_chipsets#Pentium_4_chipsets

Can support Intel Pentium 4 HT, models 620 through 672; for ->one.
They can use Up To 115 Watts,

http://en.wikipedia.org/wiki/List_of_Intel_Pentium_4_microprocessors#Prescott_2M_.2890.C2.A0nm.29

[ AsRock Support states the Conroe865GV will support Intel Core 2 processors, but I don't believe it.

It isn't until you get to the Intel 945G, that Core2 support is picked up.
Just my 2 cents ]

High voltage AC electricity comes into the Power Supply, and is contained in it's metal case.
The AC voltage is converted into low DC Voltages.

3.3 Volts DC, 5 Volts DC, and 12 Volts DC.
In comparison two D cell flashlight batteries produce 3 Volts DC.

A multimeter is used to check the three voltages.
Need guidance with this post back in a Comment.

[An economical multimeter around here, can be purchased for around $5 to $12.
Available in a lot of stores. I have seen them on checkout aisle racks, of major discount stores ]

OR;
Use a KNOWN to be good, Compatible power supply for a test unit.
May be a working computer that is not being used, that you can Temporarily borrow it's power supply.

Let's start the diagnosis from here..........

Asrock 4core1600p35-wifi+ lan port not working

Driver: Small piece of software that allows the Operating System to communicate with a device

http://www.asrock.com/mb/download.asp?Model=4Core1600P35-WiFi&o=Vista

Have you downloaded AND installed, the Realtek LAN driver?

If so tell me the procedure you used.

If that still doesn't do it use an Ethernet Card in an open expansion slot;
PCI
or
PCI-Express x1.

Post back in a Comment if you need guidance in downloading and installing the LAN driver.

Also for any additional questions.

I have a ASRock CONROE1333-DVI/H R2 motherboard and i wanted to know if i could use a graphics card that requires a pci express 2.0 slot

Absolutely!

The AsRock Conroe1333-DVI/H R2 mobo uses PCI-Express 1.1 technology. It's in the Intel 945G motherboard chipset.

http://www.asrock.com/mb/overview.asp?Model=CONROE1333-DVI/H

http://en.wikipedia.org/wiki/List_of_intel_chipsets#Pentium_4.2FPentium_D.2FPentium_EE_chipsets

Scroll down to bottom of chart. 945G made in 2005.

http://en.wikipedia.org/wiki/PCI_Express

Scroll down to History and revisions.
PCI Express 2.0 -> 15 January 2007

A graphics card based on the PCI Express 2.0 technology, will work on a motherboard based on the PCI express 1.1 technology.

Why?

Because PCI Express 2.0 technology is Backward Compatible, with PCI Express 1.1 technology.

You just won't get the full capability of the PCI Express 2.0 graphics card.
Will you notice? NO

PCI Express 1.0a, and PCI Express 1.1, operate with a per-lane data rate of 250MegaBytes per Second. (250MB/s)
Transfer rate of 2.5Gigabits per Second. (2.5Gb/s)

PCI Express 2.0 operates with a 500MB/s per-lane data rate.
Transfer rate of 5.0Gb/s.

Make SURE you have Windows running, then install the software for the graphic card -> F-I-R-S-T, then physically install the graphics card.
(Computer unplugged from power, Anti-Static Precautions -> FOLLOWED)

The computer will not use the graphics cards software, UNTIL the graphics card is installed.
It will keep on using the integrated graphics on the motherboard, until the graphics card is installed.

Means get the motherboard going first, use it's integrated graphics.
Install software for graphics card, and then Physically install the graphics card.
(Don't forget to attach the monitor cable to the graphics card, lol!)

Free download for "MBP4I45GV"

The MBP4145GV you posted above is an Asrock P4145GV motherboard. It has two revisions.

1.Asrock P4145GV Revision 3.0
2.Asrock P4145GV Revision 5.0

On the motherboard it should have something printed like this,
P4145GV r3.0, or P4145GV r5.0

Look to see which revision you have, so you can get the correct drivers.

I typed Asrock P4145GV in my browser search bar just now, and the first search hit, was a page that takes you directly to Asrock-Support-Downloads, P4145GV.

When you get on this page, go to the far right and click on Downloads, across from the revision of Asrock P4145GV motherboard, you have.
I have been trying to post a link to this page, but cannot.

No boot and beeps

The exact fault code indicates RAM or a problem accessing the RAM.
Check that you are using recommended/Approved RAM as ASUS and ASROCK (the budget arm of ASUS) are notoriously fussy with RAM.
If it all checks out then your northbridge could be dead and it will probably be scrap.
