Solution:

i) Click on  Start button ---->Select option Control Panel------>Select Network Connections----->

   a new window appears showing the "internet connections icon " Such as:

   Local Area Connection 1 or 2 or 3 and since you are not connected it will show this icon as:

eg1:   Local Area Connection 1 or 2 or 3
       Network Cable Unplugged, Firewalled
       VIA compatible Fast Ethernet   

   in this case u can download VIA network drivers....from internet..


       or 

  eg2:  Local Area Connection 1 or 2 or 3
          Network Cable Unplugged, Firewalled
          Realtek RTL8139 Family Fast Ethernet NIC

   in this u can download "Realtek RTL8139" network  drivers.... from internet(which is showing model    no: RTL8139 through google search engine )

ii) Click Start button ---->Select RUN option ----> type in the text box    devmgmt.msc  --->Select Network Adapters....

but this will show wheter ur network adapter or NIC is VIA or Realtek or......but does show the correct Model NO: of VIA or Realtek....

so i would suggest to follow the step (i)

The nic card driver is with-in the NVIDIA all in 1 driver package ver: 5.10 for win 2000 & Win XP. (Its part of the motherboard which is part of the chipset). Not every board lists the nic card driver separately. The Asrock K8UPGRADE-NF3 Mb uses the nVidia nForce3 chipset.
To update your chipset drivers go to this nVidia web site. http://www.nvidia.com/Download/index.aspx?lang=en-us Choose these from the dropdown menu.

Language: English or (You choose).
Than click search. You'll end up here. http://www.nvidia.com/object/nforce3_winxp_5.11
Notice the drivers listed towards the bottom of the site. Including, WinXP ethernet driver version 4.16 (WHQL) nic driver. (Most if not all the Nvidia drivers are updated drivers).
Suggest you follow the instructions on the site before installing the 35.6Mb package.
I'm sure this will work for you. I have more faith in nvidia than ASRock. (This is what one would do when looking to update their nvidia chipset drivers).
