It appears to be a heat related issue as the CPU temperature goes up quickly and once it gets to 115C it turns off the system. I think it is a CPU cooling fan issue. I will try a new fan in a week or so and let you know, thanks.

It is possible that the processor may be defective but that is very rare. Take the processor off of the motherboard and reseat it. Make sure that you are using thermal paste(preferably aluminum) properly. The motherboard has a function in it that if the processor overheats it will shut the computer down to prevent damage. Also check to make sure that you RAM is fully seated and also that it is compatible with your motherboard. I have seen several instances where the RAM was not compatible with the motherboard and the computer will not boot.

That CPU will not work in that motherboard. That motherboard is socket AM3, while the CPU is socket AM2. The sockets are not much different, but they are designed to prevent trying to use a CPU that only supports DDR2 memory in a motherboard that only supports DDR3 memory. You would need to find a motherboard that has socket AM2 to use that CPU.

Power Supply is ONLY 300 Watts?

Yes, the Power Supply is too small IMHO.

Is there also a graphics card you have installed, and not stated?

This processor need better cooling system as it is powerful it need more power so I suggest you to upgrade your Power Supply and buy more efficient processor fan cooler. Also you should check if processor is properly installed on motherboard and there should be some special thermal grease between processor and motherboard (http://en.wikipedia.org/wiki/Thermal_grease) for better thermal conductivity

The Motherboard should automatically detect the type of CPU. Mine did. I started off with a dual core and went to a quad and did nothing. After replacing with the new quad core the CPU was automaticaaly recognized at start up and it required me to do nothing.
