Try reloading BIOS default setting by removing CMOS battery for 30-40 sec and then putting it back (if you have another, try replacing the old one). Next, pull the memory out and try booting. If you hear beeps your memory was OK and it is most likely that your motherboard is bad. If you do not here the beeps, Try testing memory by reinstalling one stick at a time or possibly replacing memory. It is very ulikely that your CPU is bad.

Reasons could be:
1. BIOS battery is dead.
2. RAM chip has loosen up in the slot.

Open the CPU, and look for BIOS cell (it would look like a quarter coin). Try replacing that. Also check for RAM; take it out clean it with a dry cloth, blow the slot with dry air to take out dust particles and place it firmly back into the slot.
