PC Freezing !

Hi !
I have a P4 3 Ghz with 1 GB RAM and 80 GB Hard disk. My mother board is Intel D865GBF. I am facing following problems:

1) PC does not start when CPU is powered on while the lights of the CPU are on.
2) It freezes at BIOS.
3) It freezes and restarts at any time when OS is running.
4) When 2 and 3 happen, PC does not start after that as well when restarted. But does eventually starts after few tries.

The CPU cooling is fine. I have changed the Power Supply and RAM but the problem persists. I even unplugged the Hard disk and RAM but still faced problem 1. Sometimes the PC just runs fine without any problems!

Can you please tell, where the problem lies?

I already have the latest BIOS.
CPU temperature is less than 60 degree Celsius.

I am still facing the problem...

I changed the Thermal Paste of my processor. After that, it worked fine for 3 days. But again it is showing the same problems. I think I might just change the board.

Update BIOS to P25 http://downloadcenter.intel.com/Detail_Desc.aspx?agr=N&Inst=Yes&ProductID=948&DwnldID=10130&strOSs=44&OSFullName=Windows*%20XP%20Professional&lang=eng

Reset BIOS to default settings.

Check CPU Temperature, Prescott CPUs run hot.

If board is under 3 years old and was a retail box package, it will be under warranty, contact Intel.
