If you have loosened the heatsink and fan but cant pull it off, you have to carefully twist it left and right to free the heatsink compound. If you just try to pull it off you will pull the processor from it's socket.

If you are removing the cpu itself, you must first release it by pushing the metal lever over a bit, then lifting it up..

If you are removing the heatsink and fan, you must first release the 4 clips on either corner of the heatsink. (pull back a little on then, the pull up, careful not to damage the components).

Beeps

You have an Awared Bios. The link below details what your bios beeps mean.

I suggest you remove your memory & re-seat it & do the same for your video card to be on the safe side.
This next link list some basic's about your board.

Motherboard problem

if you have tried resetting the bios by putting the jumper across pins 2-3, then back to pins 1-2 and it still wont boot into the bios and you know the memory is ok, then the bios chip on the motherboard is damaged and may not be easy to replace as the board is quite old.

No Display on screen.

If available, try using a different video card to see if it will POST. The only other thing I can think it might be is that the processor isn't seated correctly, or that it is seated correctly but you have too little, or too much thermal compound on the CPU.
