You need to mention the motherboard model not the memory information.. Could you find out what chipset is it? if you don't know how to do this.. Right Click on My Computer - Manage - Device manager - System - and find out the processor controller and let me know the first few words with that info something like {Intel(R) 82865G/PE/P/GV/82865P Processor to I/O Controller - 2570}.. Hope you can do this..

I lost the Mother board cd for intel(r) pentium(r) 4 CPU 2.66GHz 2.67GHz , 248 of RAM

Look at the mother board and find the name of the manufacturer who made the board and the model number. It is usually printed in white paint. Not the CPU and not the chip set. The maker of the board. Could be ASUS or Obit or AOpen or Tyan or VIA or a dozen other companies. Once you know that information, go to their web site and download the driver for your particular model.

Can I upgrade my CPU to an Intel Core 2 duo 1.7

You are basically limited to what was optional on the model. So you can only upgrade to one of the following cpus:

Intel Pentium M 745 (1.8-GHz) with 400-MHz front
side bus (FSB)
Intel Pentium M 735 (1.7-GHz) with 400-MHz FSB
Intel Pentium M 725 (1.6-GHz) with 400-MHz FSB
Intel Pentium M 710 TJ85 (1.4-GHz) with 400-MHz FSB;
operates at a lower temperature than other processors
Intel Celeron M 340 (1.5-GHz) with 400-MHz FSB
Intel Celeron M 330 (1.4-GHz) with 400-MHz FSB

And you are limted to 2gb of ram max on this model.

Installing sound drivers

First, visit this website:

http://www.intel.com/design/motherbd/gc/gc_drive.htm

Next up select Windows XP Professional as your operating system. Now click, "Drivers." The first result should be the Realtek drivers, which are what you're searching for. Download them. Once they finished downloading open the file and the drivers should be installed automatically.

If there's anything else I can help you with, let me know. If this solution solved your problem, please rate the solution.
