My hp compaq nc6000 suddenly will not boot...it seems to try to power up then just shuts down...just replaced the Hard Drive and ram.

Check that the RAM is seated properly. It sometimes needs a little force to fully insert then push down to click into place. Also, some laptops required the use of both RAM slots; yours might be one of them.

How to reformat my nc6000 using my os cd?

The NC6000 sometimes has trouble booting to anything other than the primary hard drive once a valid OS has been installed. If you need to reinstall by booting it USB or to a CD/DVD; this works for me as a last resort. (Especially USB which it officially isn't supposed to be able to do.)

Insert the bootable media. Shut the laptop down. Remove the hard drive - but leave it disconnected in the bay. Start the machine, let it detect the bootable device, then hot-plug the hard drive. There is some timing involved, but it works.

I loaded several NC6000 machines running Windows 2000 to Linux and XP this way.

Same troubleshooting nc6000

Did you check the memory? Sounds like the memory has went bad. Is it noticing all of the memory? Even if it is noticed it could still be going bad or the slot could be going bad. I have seen this happen. Are you positive that the hard drive is not bad. Did you run any test on the hard drive?
