Bad or conflicting drivers. First go in the BIOS and disable the onboard card. Then boot into Safe mode and uninstall all the ATI drivers you can find in Device Manager then reboot normally. Finally install the newest driver from here

To download the driver. Versions 9.6 and 9.7 will work, depending on your OS. Just download and install the drivers and the yellow exclamation mark will go away.

well i know the problem so well, driver installs fine and when system runs it wont load the driver.. i had the same problem and the solution is so easy, just update the BIOS for ur mobo. and after new BIOS when system boots u will be surprised
after installing, you may have to restart your computer. when you restart, right click on the desktop and select (ATI catalyst), there you can adjust your graphic card features or you can use the recommended settings the software have adjusted for your graphic card by clicking on restore settings/defaults.
you should not encounter problems once you have installed the ATI software.
Some motherboards require a separate AGP port driver to be installed before the drivers of the AGP video card could be recognized. This is specially so for 8X. Perhaps the solution requires that you install the complete motherboard drivers including the AGP port before installing the ATI 9600XT drivers.

To get your drivers follow these simply steps below:
First go to this website "CLICK HERE" - once
you've done that fill in all the details of your "Graphics Card" then
download them.
After you've completed the installation restart your computer
just to make everything work correctly.
Note: after you've installed the driver your resolution when you've restarted your computer will be diffrenrent and may need changing.
