ok somewhere there has been a fault which has rendered it unreadable in windows, but info still can be pulled off via a Linux Live disc, that is a small operating system like windows that will run off a cd or flash drive, once up and running you can access the hard drive and copy all info to another, then when back in windows you can re formatt and send all info back, I know it sounds a little hard but it is not. Cheers
format it with a PC that has a fully updated antivirus this some times is a problem when a virus source code is not allowing the system to access the important part of the card for formating!

i think it is due to your fash drive hardware failure. try to right click on your drive and select format. if format compelete successfully then drive is ok but your system is infected with viruse which denied accessing your pen drive. better thing is use windows explorer and click your flash drive check whether it open or not.
if you contact the manufacturer of the flash drive they may have a reset program for it.. I had a similar problem with a flash drive that I had configred as a key to lock my pc.. but I forgot the password and the flashdrive was then worthless even the reset prog couildn't help it :( hate to be the devils advocate but you may have to replace the flassh drive
