My 2wire modem was working fine when I went to sleep last ngiht around midnight. However, when I got up this morning, it had no power at all. I even plugged it into another outlet. AT&T is telling me that b/c it is out of warranty(2 years old) that the modem is faulty and it will cost me an additional $100 plus an additional $23 for overnight shipping to get it replaced. Do you have any suggestions as to why it just stopped working?

If you have tried another wall outlet and it still doesn't work then it could be the power adapter. The other cause is it if it is plugged directly into the wall, it could of been hit with a power surge. Those 2 wire units are very sensitive to power spikes. I would suggest when you get your new one that you plug it into a surge protector to avoid issues like this in the future.
