Windows logo testing and the warning are just Microsoft covering themselves as they haven't testd th drivers. While it is remotely possible it is highly unlikely that any problems would occur as it is not in the interests of the manufacturer to produce a driver for thir product that would damage your system.

As regards XP you would have to buy a new one.

Try the following steps

1. Right Click My Computer
2. Properties.
3. Hardware
4. Driver Signing
5. Select Warn----option
6. Check make this action the system default
7. ok then ok

Now reinstall driver....it will ask you for driver not digitally signed what to do now.....clk continue with the unsigned driver........

First all if it fits in the graphics slot, which I am sure it did otherwise you wouldn't start installing it i.e. running the driver CD. You can press'' Continue anyway" whenever this message cones up on the screen. After adjusting the speaker setting in the control panel. Only if the sound is badly distorted(start with low volume & gradually increase) then remove the driver and try to find the latest driver on the Net. Don''t worry it will not damage anything(other than the ears). Its safe and XP is a hardy OS.
Your second problem either download the same and record it on a CD. The download should preferrably be from microsoft side or borrow a friends disc of the same OS version you were using or simply copy the Original CD to retain its self-boot(auto-boot) on to another blank CD of good Quality. When it asks for the product keys which you have and it will work exactly like your earlier OS. Make sure to download all updates released by microsoft till date(Windows Only & Office, if its an original one.....sodeep

Yes, you need to load Windows, load motherboard drivers, load 3rd party software/hardware and drivers, Windows update if it has not already been told to auto update.
If you have a seperate graphics card, download latest drivers, dont use the windows drivers, or the driver disc that came with the card, they will be out of date

Says not passing windows logo test upon install.. saying no video found

If it's not passing the windows logo test, it just means the drivers are not verified by Microsoft. You can go ahead and install the drivers as long as its a legitimate driver from the manufacturer you will have nothing to worry about. :)

Why doesnt my inerface pass windows logo testing?

The 3.40 driver is dicey at best.

It seems to have an issue w/ corrupting when
Windows Updater runs.

I usually get sound for a few hours, then a crash,
then Windows continually reboots at logo.

AUDIO DRIVERS

If your drivers are from trusted source just click ok continue when the windows signing for drivers pop up window appear.

Now if you click ok and then the system fails to load and then give you a blue error screen, its caused by either
  1. The hardware or its drivers cause conkflict to the system, because your drivers are not from a source you can trust and they are not in compliance with windows OS features and as a result can not run in a windows OS. So get a fresh copy of the drivers from a trusted source preferably the product manufacturer
  2. The hardware itself is faulty and on installing to XP it causes a conflict in which case you can try the Sound card on a different PC and see if it runs, otherwise you need to replace it.
  3. (Assuming XP has finished loading the OS) Sometimes XP fails to unistall the previous drivers, if this is that case goto the device manager (windows icon >right click > properties >hardware > device manager) select ypur current sound card unistall the driver that is there and then restart your machine and load the new drivers again
