Windows wil give this message by default when the file system has gone bad, tryf first running checkdisk on it.
Goto Start/Run and use as command "chkdsk /x /f /r X:"
Where x is goes the drive letter of your usb stick, also type the command without quotes.
If this does'nt work use a quick format on the memory stick so that the files are still fisical there and use testdisk to recover them.

Testdisk is opensource, this is free software.
