To vague.Depends on application, i.e. forced air(add on with heating existing), geo thermal, heat pump, etc...Not to mention size of system(tonnage), brand, seer, existing modifications to delling.Commercial or Residential, zoning, local/state ordinences/codes.Title 24.Cash or finance options.

First, I'd say $425 for replacing a gas valve is high. Even allowing for the fact that the heater is one of the worst out there to have to work on I'd put the price much closer to $300.
As for the replacement vs. repair: I would guess that the service man REALLY dislikes working on that model/brand heater and his prices reflect that. Changing the tube bundle, also called the heater exchanger or coil, is the most expensive repair and it a real pain to do in that heater.
That said it can be done for far less than $3000. The rule of thumb we general follow is 50% of new or less to repair. Based on the model number you provided I put the repair for both the valve and tube bundle at about $1200 plus tax. While you are approaching the 50% threshold based on his estimate for a new heater, I think that price is high as well.
What does all this really mean? Well I'd suggest you get another repair technician if you can. A second quote would do some good for comparison. I'd also price a new unit from other sources also to compare. The heater you have failed for a reason and you need to be sure that situation is fixed as part of this repair or replacement. Tube bundles fail due to poor water chemistry, pool methods of introducing pool chemicals to the water, poor installation or a combination of these three. No matter what you decide to do with the heater do not let the same failure happy again after only 5 years.
