in the event of a faulty/lost remote control or flat battery, the system can be overidden using two methods depending on the build date of the vehicle. up to september 1999 the ignition key overides the system after that date the digital key overide. The ignition key overide is in the form of a code of 5 digets recorded on a card and attached to owners manual. At the back. Code is also recorded on a tag with ignition key. If lost refer to dealer
Press "Manual", then press digit key ("0/10" thru "9") that corresponds with the channel to be changed ("0/10" = ch10). Next, press the digit and decimal point keys to enter the frequency in megahertz (Mhz) to be stored in the channel. To store 453.100 Mhz in channel 2, you would press "Manual", then "2". Press the following keys in order: "4" "5" "3" "." "1" "0" "0", followed by pressing the "Enter" key. Repeat this process for up to 10 channels. If you wish to clear unused channels, you should be able to select the channel, then enter "." followed by the "Enter" key.
This scanner will only accept frequencies between 30.000Mhz and 599.999 Mhz. Attempting to input frequencies outside this range will result in an error message.
I hope this helps and good luck! Please rate my reply. Thanks.

Unfortunately, universal remotes often do not work as well as the packaging says.... but all hope is not lost.
First, try ALL the programming codes listed for your brand of TV. Often, one will work. Be sure to follow the programming instructions, which usually have you trying the POWER ON/OFF button first after reprogramming.
If that fails, most universal remotes have a "scan" feature that, when you start it, will cycle through every code it has stored. During a "scan" you keep the remote pointed at the set and when the set powers off, you hit the ENTER key (or the key specified in the remote manual) to stop the scan and test the functioning of your remote (channel +/-, VOL +/-, etc.)- it takes a long time and can get frustrating, but keep trying and you should find a set of codes that will operate your TV correctly.
If you have no luck, do not give up hope completely- I would next recommend that you purchase a Philips brand universal remote- this is the brand that I have found to be most flexible.
If you have another key then you can buy a blank transponder key for $16 here: http://www.autotransponder.com/2005_jeep_grand_cherokee_key_blank_transponder_chip_1 You will get all instructions how to reprogram the key by yourself too. If you lost the only key you had, then go to the Chrysler dealer. You have to show them a picture ID, and the car ownership (TITLE). Is going to cost you around $50. They will provide you a hard copy of instruction how to reprogram it.

Depress the square release button, just to the right of the 3 dials on outside of the case, while providing an upward pressure on the small tab on the inside of the case just behind the 3 dials. Now select your new combination by selecting new digits for each dial.
