You need a Vista premium disk to upgrade to Vista premium.
Just instert the Vista premium disk and start the installation.
If installation does not start, you will need to boot from setup CD, sometimes you have to change the bios boot sequence in bios settings, to start the installation from CD.

Hmmm there could be a problem with the operating system itself. You can insert the disks the computer came with, and boot up to it. then when it comes to your install menu, select repair instead of new install.

1. Login to the Safe Mode and then perform the steps as mentioned in this page to resolve it.
NOTE: To login to the Safe Mode, press the F8 key at startup or whn the Computer starts.
2. Try performing the System Restore.
System Restore removes system changes that were made since the last time you remember your computer working correctly. This feature allows the user to revert crucial operating system files back to a previous recorded state. System Restore does not affect your personal data files, so you won't lose changes made to these files.
Open System Restore by clicking the Start button, clicking All Programs, clicking Accessories, clicking System Tools, and then clicking System Restore. Administrator permission required. If you are prompted for an administrator password or confirmation, type the password or provide confirmation.

Hi there go in BIOS set up & remove the password from there. After that restart your system & then create again Admin password . Thanks.
