Since the Precision T7400 has 2 CPU sockets, then assuming there are no "beep code errors" and all the diagnostic lights go off and the power light is green then you probably need to go into the BIOS (press "F2" when the Dell logo comes on during start up) and find the setting that enables multiprocessor support and ensure that multiprocessor support is enabled. If it isn't change the setting so that it is, save the changes and reboot. If it is then it sounds as if one of the CPUs is not functioning properly. Please note that for multiple processors to work, they must be exactly the same.

I figured out how to ghost a Dell Precision 490 with a 32 bit Windows XP Image! Like you I had the same problem where it would constantly reboot after I imaged it with an existing 490 image. The answer is actually very simple. Boot up your Precision 490 and hit F2 to enter the bios. Select Drives and then SATA Operation, change it to "Raid Autodetect / ATA". Reboot the 490 and re image the machine, it will now work!

Try different memory modules ( RAM ) and see if it is just the RAM.
Also take anything else out you dont need - including dedicated graphics card assuming it has onboard graphics card ( if so then enable the onboard graphics card before taking out the dedicated one )
If its still the same then yes it is the motherboard in which case you need the motherboard replacing.
If you did the diagnostics that they walk you through and they still tell you its the motherboard then it will be the motherboard as there diagnostic software is accurate.
