Probably your software is not genuine . You need to buy a valid key that is no more available at Microsoft's . You can purchase an install disc at one of these places and use the key to validate your XP OS :

you have purchased a copy of windows xp pro already in use on someone elses computer
to remove this most annoying popup you can buy yourself a new copy or reinstall this one but do not turn on automatic updates
