You must activate windows 7 via the internet. as it is still in beta / release candidate stages of developement.
I believe the reason microsoft has not enabled a phone-in activation for windows 7, is they want to be sure that automatic updates, and feedback is functional. As well as two weeks before official launch of windows 7 (2010 i believe) any windows 7 beta, rc, or alpha stage operating system will automaticly update via the internet, and begin to reboot the PC every 2 - 3 hours untill the OS has been upgraded / purchased.

In order to step down to a 32 bit OS from a 64bit OS you will have to completely reformat your hard drive with the 32 bit os install DVD.

Have you checked with Dell if your computer is upgradeable to windows 7 or not? It could be a hardware issue or a driver issue as well. Have you tried restarting the computer into the safe mode after the Windows 7 installation? If not then try that, because if its able to restart in that mode then its definitely a driver issue, else a hardware issue.

You should have a certificate of authenticity with your copy of ultimate. If you don't have a genuine copy, the best advice would be; not to try upgrading. It may work for a while but you will have to activate the updated installation at some point and microsoft will probably recognise that it's a non genuine copy. You will then start to have problems with updates, slow running etc.
