This is quite common what I do is go to btjunkie.org and download their 100.000 driver disk or their 50,000 one. Just go there and type in the search box XP drivers. You will have to download a CD full of the drivers. Then install the driver disc you downloaded and go to devices and then select the network device and point it to the drive where the large driver disc is and it should have the driver you need for your network adapter this is how I do it with lots of computers when I run into this situation.

1. Go here to download and install the Chipset - Intel driver.
2. Restart the computer.
3. Then go here to download and install the Ethernet driver.
4. Restart again.
It's not so clear since you haven't mention which password, whether Bios password or system password. If it's Bios password, remove the Bios battery and leave it outside for few mins and reinsert it. That will solve the problem. But if it's system password (password to be typed in when you are logging on to your system), it depends on the operating system on how to bypass it. For windows XP it's easy with some key strokes but for win vista and win 7 it would be much tougher since higher security feature is implemented with these operating system.
