i updated the bios but nothing changed. On intel site i read this:

In Windows xp professional Intel® Desktop Boards that support Intel® Viiv™ processor technology may display a yellow exclamation mark within the Other Devices in Device Manager, indicating a problem with the LPC Interface Controller (example: Intel 82801 LPC Interface Controller).

This may occur under the following conditions:

    * The operating system requirement for Intel Viiv processor technology has not been met. Intel Viiv processor technology requires Windows* XP Media Center Edition.
    * Intel® Quick Resume Technology (Intel® QRT) is enabled in the BIOS but the drivers have not been installed.

    To resolve this:

If you plan to use Intel Viiv processor technology:

    1. Install the supported operating system - Windows XP Media Center Edition.
    2. Install the Intel QRT drivers.

If you do not plan to use Intel Viiv processor technology:

    1. During boot, enter the BIOS setup by pressing F2.
    2. On the Power menu, disable Intel QRT.
    3. Press F10 to Save and Exit.

But when opened my bios there is no such option to disable/enable QRT in power menu.

    Try this link

    * Remove all the pci and pci-express cards

    * Now backup ur data and make a fresh install of windows, install all the drivers, specially the updated chipset driver,

    * Now see what happens... fresh install of windows should solve any hardware detection problem... I'd like to suggest u to try using windows XP SP2...

    * If there is no improvement...don't forget to try using an another RAM module...

    * If still no improvement then re-claim warranty...

Does it show the correct CPU speed under My computer? Did you go through the BIOS setup screen and set everything up? Are you ram chips a matched set?

The questions then become;" Do you Windows Xp Media Addition and/or do you have that yellow exclamation mark within the Other Devices in Device Manager?" If not it doesn't apply to you.  Another question that came to my mind "How many watt is your power supply and do you have an extra power lead that goes to the motherboard, for the CPU, by
itself?" Just trying to help you think it through , here.

Download the Specification Update(Jan 09) PDF file(Link below) and see if that applies to you. It talks about defects in design of your model(maybe,it had a chart), and updating the I/O controller hub, to overcome these defects.  A little over my head, I am afraid.

Intel DG31PR Motherboard not booting

You could try reseting the Bios settings using the jumper of the motherboard after installing the new Rams. Anyways ,its working, so don't do that now :P .

No Microcode Update Loaded for Boot

It means the motherboard does not support that processor and you need to update the bios. You didn't say which Celcius you have, but the BIOS will have to come from Fujitsu.
