This is an older version and older unit, are you trying to reload it with a newer version of Photoshop? You normally register online to get an activation, the Spyder comes with a CD and it has the code printed on it so you can intall it on all of your computers. Be aware that Spyder2 has some problem with CS3.

I have installed it on bot a desktop & laptop running Windows 7 64bit. You will still need your Colorplus serial number. I tried other versions from the Colorvision website. Visit http://spyder.datacolor.com/support.php and click the download link.
If you were using CS2 and had calibrated your monitor with the Spyder 2pro your color profile should be the same and can be used in CS3. Match all of your color preference settings in CS3 to what you have them set for in CS2 you should be fine. Eventually you will want to upgrade the the Spyder3 pro or Elite which works in CS3 & 4. I don't think the Spyder went bad I'm pretty sure it doesn't work with the newer versions. Yes you'll have to uninstall Photoshop first check, to see if the device works with your older version of PS then calibrate the monitor again. Transfer your setting to the new PS after reinstalling it.
That product is out of production, but its replacement is available. I believe you would find your best solution on the Pantone website or, next best, the website of the manufacturer of the Pantone Printfix Suite: Datacolor. I personally use Datacolor's Spyder2 and am very pleased with the results. My monitor represents true colors and has many optional viewing settings, which are invaluable.
Several ways to attack this problem
Sounds like you have some way-outdated drivers.
Try right clicking each USB device in Hardware Manager, and select update. This MAY help
Download and install a Driver Finder program such as Driver Detective, then update all your drivers.
Try un-installing the DRIVERS for THAT DEVICE only, then shutdown and restart. See instructions below. Click on the faulty device and hit the remove button, follow the instructions given by the program. Shutdown, restart, the device will automatically reinstall by the "Found New Hardware" program. If that does not work run install program again.
