There is no CD to install, it will be auto-installed when you plug it in.

My rca m4204 mp3 said intializing and then shut off and wont turn back on.

As long as the computer enumerates the drive (you can see it in My Computer as a drive letter) then there is likely an issue with the firmware.
Download the firmware install from the RCA website:
Follow the on-screen instructions to perform the install.
Be sure to back up any important media before performing this install.

If your computer does not recognize it, press and hold the play button while connecting the device for upwards of 30 seconds.

Keys not responding after fully charged (rca m4204 )

Make sure that the Lock on the back of the device hasn't been accidentally moved to the locked posistion. If your computer recognizes the player and you can access it in windows, then there is likely a problem with the firmware.

Download and install the new firmware from here:

Note: Be sure to back up any important media on the device before doing the firmware reinstall

I know this is an old post but here you go...

You can try one of two things.

1st try to reset the device by holding the power button for more than 10 sec.

2nd You can try to reinstall the firmware by following these steps:

To update the firmware on your M4200 or MC4200 series, you will need to:

2. Click on the download link.

3. Select "Save" and select the appropriate folder to save the installer.

M4204 dead

Run the installation CD first, before connecting.
Are you running vista? You may need a clean version of the installation software from RCA's website.
