Check you copy of Windows is Activated and you have a Valid Key

I have created a simple script that registers the DLL's and then checks for activation if no activation is found then It will start the activation wizard, you will need to have an internet connection OR check out my other Tips for how to bypass this using WPA files in safe mode.

Then its also a good idea to use the MGA Diagnostic Tool download it from my Rapidshare account it will also check your Office validity and prepare a report for printing.
