This problem that your having is all too common on Jaguars. I have a 2002 X-type and I have been completely screwed over with it. I've had all of your problems and then some. The noise your hearing is a prop shaft most likely in the front of the vehicle. Jag says that it doesn't need to be replaced but you always can. They quoted me somewhere close to 1,300. Good Luck.

unclip plastic surround from gear stick, then remove ash tray - i know i didnt think it sounded right either...carry on...remove plastic cover now thats hiding 2 torx screws, remove them.
at the top of the unit near the hazards, that little section pops off to reveal 2 more torx 60? screws, remove them, and it will just pop out. the unit looks like it could just slot the stereo part out but you cant.

u don't say how many miles or ur maintenance schedule but most likely and cheapest is the fuel filters - check with the factory for location they will tell u on the phone - take down the VIN # and call the local dealer and also ask if any factory recalls are in effect or even out of date for a heads up
