No it may also have a bad or blocked cat though. It sounds like the alternator needs to be replaced or that the belt may be stretched or broken therefore not doing anything.

Head lights dimming when the engine speed decreases points to a poor battery and/or alternator. I don't know what this code is. If your battery is dead or weak, it can not put the power into the alternator to allow the alternator to make power to go back into the battery. Alternators, unlike generators, are not self exciting, Alternators require power to make power.
As far as I am aware, a CAT either works fine or doesn't work. There are no moving parts inside. If it doesn't work, two reasons: Burned up and allows the exhaust to pass through uncleaned or it is clogged with soot and caused excessive back pressure.
My advice is check out the battery and alternator. You can have this done at any full service auto parts store. While you are there, ask what code P0420 is.

Do you have a 5 speed transmission ? I had this problem, my problem was so bad it would stall everytime I came to a stop sign. i thought i was gonna have to replace the throttle body. come to find out, it just needed cleaned and reset. The dodge garage did it in my town for $20
