It's not likely to be your catylitic converter it's more likely your fuel pump is going bad or you have some damaged wiring to the fuel pump. If by chance you recently had it changed the ground probably didn't get connected right.

2004 chevy malibu 2.2 driving 60 mph shut down

either you have a fuel pump that went out, or your fuel pump relay went. These fuel pumps last around 100,000 miles, so if you're way under that, it's more than likely the relay, if you're close to that, it could be either.

It only comes on when I am on the freeway @ 60 mph. Driving on local streets there isn't any "problem". I took the car to an emmissions testing facilty where it passed the test.

add a can of SEAFOAM to a tank or at least 1/2 tank of Premium gas. later change the fuel filter, and see how that does. ethanol gas problem #99. add a can of SEAFOAM every 3000 miles and it will cure your emission.fuel and engine ping, and carbon problems.

Downshift hesitation?

Sounds like a plugged catalytic converter or in rare cases muffler. This will set codes but try this; remove O2 sensor closest to front of catalytic converter, it will be noisy but drive again, if performance is better, suspect plugged catalytic converter, replace cat and reinstall O2. Also check air filter and mas air flow sensor. Have had some luck carefully cleaning sensor with throttle body/air intake cleaner after removing from vehicle with key off. Hope this helps !
