what you have is "death wobble", mainly caused by worn wheel bearings, severely out of balance wheels, or seriosly misaligned tracking.
I dont know how experienced you are with cars so dont want to advise something beyond your skill, but solving this problem involves checking and repairing the above mentioned faults.

Front end vibration at 40 mph and rubbing sound

Vibration at 40 mph hard to diagonisis without looking at front end. Could be wheels need balancing, new wheels and rims. Loose or worn suspension items.
Bring vehicle into a tire and alignment shop. Most Sears auto center have them.
With regards to rubbing noise again hard to diagonisis without looking at the affected tire, probably a splash shield hitting the tire in reverse.
Alignment shop will find the problem.

Need to change transmission

make sure u really need a new transmission. my D4 light kept flashing periodically and then would hesitate wen accelerating also it slipped wen exceeding over 40 mph. i took it to a transmission place and all he had to do was replace the solenoids. it also could be the computer or wires. either way it is MUCH cheaper than replacing a new tranny. make sure it is a trustworthy person, a crooked one will try to tell u to replace it even if u may not need to.
