The battery holder in the key fob has a cracked solder joint. I have fixed both of my key fobs. I had to resolder the battery holder. If you know someone who can solder ask them for help. Very easy problem to fix.
Solution 2 was exactly what my problem was. 1 key had the battery holder completely separated. The other looked ok until I looked closer. The holder was still attached at the large pin, but the 2 tiny pins into the board had pulled out slightly. The battery holder needs to have it's bottom edge flat against the board. I touched with a soldering iron and pushed it tight to the board and all is well again with both. Thanks nealm98. Saved an expensive trip to the dealer.

Point the remote at the receiver (located by the little bulb on the car ceiling) and hold down the "Lock" button for up to 5 seconds.
When the driver's side door unlocks, you know the remote has been programmed correctly. If you are only programming one remote, jump to the next step. If not, manually re-lock the driver's side door and repeat steps 5 and 6 using each remote you would like to program and then continue.
Turn the key to the "Off" position and turn the ignition on immediately. This must be done within 20 seconds of programming the last remote. You're finished!

off-on-off-on-off-on. Then with the key fob remote select your remote and then
try to operate the vehicle with remote.

It is a brand new battery and still the problem is intermittant.
I have the same problem and when I took it to the Jeep dealership, the service department says it isn't the battery and it could be a bigger problem. They said it could be something with the jeep and offered to look at it but I left to run errands instead.
hi, I recently purchased a 2005 jeep laredo and have similar problem. The keyless entry portion does not work (who knows) so I lock the truck with the key, however I cannot open the truck without the alarm going off. I have to start the truck to get the alarm to shut off. Any ideas why the alarm would go off when opening the truck with the key?
I have the same problem, just wondering if it is something simple or if it is a computer problem. Sounds like I will have to take it in to have diagnosed, hopefully it is not the start of something bigger.
