Fixya Expert Agreement:

1. Introduction

This Expert Agreement, in combination with FixYa's general Terms and Conditions of Use ("Terms"), sets forth the terms and conditions under which FixYa makes the services available on the Site (the "Services") available to you.  The Terms are an integral part of this Expert Agreement and are incorporated herein by reference.

2. Definitions

Capitalized terms not defined in this Agreement will have the meanings set forth in the Terms.

3. Acceptance

Your acceptance of these terms is signified by checking the "I Agree" box and then completing the on-line registration process.  By doing so, you agree to be bound by all of the terms and conditions contained in this Expert Agreement and the Terms. You have the right to have a record of this Expert Agreement and any other Agreement you enter into with FixYa made available on paper form upon request for no additional fee. Simply e-mail experts@fixya.com.  In addition to signifying your acceptance of these terms, in order to use or continue to use the Services you may be required to and you agree to provide information as requested by FixYa.  In such an event, you consent to FixYa's disclosure of such information to third-parties in order to verify such information (if FixYa chooses to conduct such verification, which it is not obligated to do) or in order to comply with federal, state or local laws or regulations.

4. Expert Accounts and Conduct

Without limiting any other remedies, FixYa may suspend or terminate your account if we suspect, in our sole judgment, that you (by conviction, settlement, insurance or escrow investigation, or otherwise) have engaged in fraudulent activity in connection with the Site or have engaged in activities in violation of the terms of this Expert Agreement, the Terms or related agreements with FixYa. FixYa also may suspend or terminate your account if we determine, in our sole judgment (which may be based in whole or in part on your acceptance rate, user feedback or other Expert feedback), that you are not providing the quality of answers we determine, in our sole discretion, is useful on the Site. If FixYa suspends or terminates your account, you may not open a new account (under your name, a fictitious name or someone else's name). Any monies accumulated under such an account will not be paid out and will be the property of FixYa.

You will be solely and fully liable and responsible for all activities and answers provided under your username and password.

FixYa provides a venue where you may answer questions by other users of the Site.  The specific features of the Site are to be determined solely by FixYa and are subject to change or termination without notice.  Expert has no rights in and to the Site and Services or in and to any use or continued use of such Site or Services.  FixYa makes no representation or warranty of any kind as to the ability or willingness of other users to pay for the answers provided by Expert.  You agree that any information provided in answers on the Site will not be considered confidential and may be used by FixYa.  As between you and FixYa, you will maintain whatever ownership interest you have in and to the content and information you provide on the Site.  You hereby grant to FixYa a fully-paid, worldwide, royalty-free, irrevocable license to use, reproduce, display, edit, copy, modify, transmit, publicly perform or create derivative works of such content and information.

5. Non-solicitation

You are prohibited from soliciting users of this Site for any purpose (including inviting other users to contact you outside the Site) except with advance written consent by FixYa. You are prohibited from negotiating payment with a user either on or off the Site and you should not discuss with other users how much you are paid. You are not permitted to post anything other than answers to questions or legitimate requests for information.

6. Expert Warranties

By submitting the Expert Agreement and completing the on-line registration process, you represent and warrant to the following:

1. You will not misrepresent yourself or create a misleading username.  You accurately describe and represent your background, skills, knowledge and your level of experience (including educational background, degrees, current business standing, etc).  You will maintain and update such information so that it remains true, accurate and complete.
2. You will not provide any legal or medical advice or other professional advice or information (such as securities, tax, psychiatry, veterinary, etc) that may only lawfully be rendered or provided by a licensed professional unless you are a licensed professional in good standing and you abide by all the rules and regulations of such profession.
3. In addition to the other terms and conditions of the Terms and Expert Agreement, you expressly represent and warrant that you will not engage in the restricted activities noted in the Terms.
4. Unless otherwise expressly stated by FixYa through a recognition program or otherwise, you agree and acknowledge that nothing regarding your participation on the Site will be considered as an endorsement, referral or recommendation by FixYa or any other Expert of you or the answers you provide and you will not, either on the Site or in any other forum or by any other means, suggest such an endorsement.

7. Fees

The amounts to be paid to Experts are as set forth in the explanation page on the Site. FixYa reserves the right to modify such amounts at any time without prior notice.

Your account will be credited upon the earlier of (i) a confirmation by the user that its problem has been solved; or (ii) 7 days after you provide your answer to the user.

FixYa shall evaluate your account on the first business day of each month with respect to the earnings of the preceding month. In the event that you have more than $50 of earned income (you can not place funds into your account to reach $50, it must be earned) in your account (or a larger amount if you request so by mail to FixYa), FixYa will transfer to you your earnings within 30 days thereof.

FixYa shall send you your payment via the postal service in checks, via PayPal or Payoneer, or any other methods as will be decided upon from time to time, at FixYa's sole discretion.

FixYa reserves the right to remove pending earnings in an Expert's account in the event such Expert did not execute a registration form for a payment program and/or is not active for a period of more than 90 days.

FixYa's billing system is not error-free, and FixYa shall not be liable for any problems, miscalculations or malfunctions in processing payments due to the Expert. If you think that a mistake has occurred you shall send your complaint experts@fixya.com within 30 days of discovery of such mistake. If for any reason the user has not paid the Expert fee or has paid but has later charged back such payment, no Expert fees will be paid to you for that transaction and if the money has already been sent to you, you will be required to repay this amount to FixYa, and FixYa has the right to deduct this amount from your account or from the following payments to be made from FixYa to you.

8. Temporary Hold On Accounts

In our sole discretion, we reserve the right to place a temporary hold on your account if we have reason to believe that the funds were earned under suspicious circumstances or that the funds were derived from a suspect customer account.

We will continue to investigate the situation until we have adequate resolution, as determined by us, and which may require the involvement of certain third parties, including any applicable credit card company. We will make every commercially reasonable effort not to exceed sixty days hold on your account as we investigate.

In addition, we reserve the right to remove "earned" funds from your account to compensate for fraud, returns, disputed amounts, or any uncollected revenue. To the extent insufficient "earned" funds are in your account, you are required to reimburse FixYa in the full amount necessary to compensate for such fraud, returns, disputed amounts or uncollected revenue within fifteen (15) days of written request by FixYa.

9. Indemnification

You agree to indemnify, defend and hold FixYa, any and all parent, subsidiary, or affiliate organizations, officers, agents and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party that are in any way due to or arising out of your use of or conduct of the Services, including, without limitation, that result from any answers provided and/or relied upon on the Site. FixYa shall provide you reasonable notice of such claim, provided however that FixYa's failure to provide such notice shall not derogate from your undertakings hereunder.

10. No Relationship

No relationship (such as partnership, agent, joint venturer, or employee) between you and FixYa is created by this agreement or your participation on the Site.
